These terms apply to everyone who uses www.greentangelo.net (the “Platform”), which is run by Green Tangelo (“we”, “us”, “our”), a business based in the United States. The Platform is a marketplace where members list wedding attire for rent (“Listers”), rent it (“Renters”), and where partner dry cleaners and delivery partners (“Partners”) inspect, clean, store, hand over and deliver the items.
By creating an account, listing an item, making a booking or working with us as a Partner, you agree to these terms, to our Privacy and Data Governance Policy and to our Anti-Fraud and Collusion Policy, which form part of these terms. If you do not agree, please do not use the Platform.
Please read section 16 carefully. Unless you opt out, it requires disputes to be settled by binding individual arbitration and waives class actions and jury trials.
1. Our role
- We run the Platform, take payments through our payment partners, hold caution deposits, pay out Listers’ earnings and settle disputes as these terms describe.
- Unless a listing is one of our own company listings, we do not own the items listed. The rental agreement is between the Lister and the Renter. We collect payments for the Lister as their limited payment collection agent: once you have paid us for a booking, you have paid the Lister.
- A partner cleaner’s “Verified” mark means the item was inspected and cleaned when it was dropped off. It is not a guarantee of the brand, the designer, the exact fit or that the item suits your occasion.
2. Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- Give accurate, current information and keep it up to date. Each person may hold one account, and each account has one type (renter, lister, dry cleaner or delivery partner).
- Keep your password safe. You are responsible for what happens under your account. Tell us at once at info@greentangelo.net if you think someone else has used it.
3. Prices, fees, payments and taxes
- Before you pay, you see everything a booking costs: the rent, the dry-cleaning fee, the refundable caution deposit and, where they apply, a service fee and sales tax or VAT.
- Prices are shown in the currency of your country, which we work out from your location or the country you choose. When a listing is priced in another currency, we convert it at our current exchange rate and charge you in your currency where our payment partner supports it; otherwise checkout shows the currency you will be charged in. Your bank may add its own conversion or card fees.
- Card and PayPal payments are processed by our payment partners. We never see or store your card details.
- Listers earn the rent less our commission, which is shown on the Pricing page or in your plan. Earnings become available to withdraw once the rental is completed and the item has been inspected. Withdrawals have a minimum amount, are reviewed by our team and are paid to the bank account you give us.
- Plan fees are not refundable, except where the law requires a refund.
- You are responsible for the taxes on what you earn through the Platform. Where US law requires us or our payment partners to report payments to the IRS, we may ask for your tax details (for example, a Form W-9) and hold payouts until we have them.
4. Bookings, cancellations and refunds
- You send a booking request; the Lister approves it (or the listing accepts bookings straight away); you pay within 48 hours of approval, otherwise the approval lapses and the dates are released.
- You can cancel a request at no cost at any time before you pay. Listers may decline requests.
- To cancel a booking you have paid for, contact us at info@greentangelo.net before the pickup date. If the item was not collected, the caution deposit is refunded in full. Whether the rent and fees are refunded, in full or in part, is for us to decide, taking into account how much notice you gave and whether the item can be rented to someone else, unless the law gives you a right to a refund.
- If the Lister cannot provide the item, or the item fails inspection before your rental, you get a full refund.
- Refunds go back to the payment method you used. We are not responsible for differences caused by exchange rates or your bank’s fees.
5. Renters: looking after items, and damage
- Use items with reasonable care and only for the occasion you booked. Do not alter, cut, dye, wash, dry-clean, permanently mark or lend out an item. Cleaning is done by the partner cleaner.
- Return the item, with everything that came with it, to the partner cleaner (or the delivery partner) by the return date, in the condition you received it apart from normal wear from one use.
- Return inspection. The partner cleaner inspects every returned item and records its condition (good, minor issue or damaged) with a note. They may deduct from your caution deposit for:
- damage beyond normal wear, such as tears, burns, stains that standard cleaning does not remove, or missing parts and accessories;
- a late return, at the listing’s daily rate for each day late;
- cleaning beyond the normal dry clean.
The deduction can never be more than the deposit. We tell you the amount and the reason, and the rest of the deposit is refunded to your payment method automatically.
- Damage or loss above the deposit. If repairs cost more than the deposit, or the item is lost, stolen or not returned within 7 days of the return date, you must pay the reasonable cost of repair or the item’s replacement value, as shown by the Lister, less the deposit already kept. We may recover it by any lawful means, including through a collection agency or the courts, and may report an item that is not returned to the police.
- Disagreeing with a deduction. Write to us at info@greentangelo.net within 7 days of the inspection notice, with your reasons and any photos. We review the inspection record, the item’s history and what everyone involved tells us, and decide whether to refund some or all of the deduction. Our decision settles the matter on the Platform, but it does not take away any rights you have under the law.
6. Listers: what you promise, and false listings
Each time you list an item, you confirm that:
- you own it, or the owner has given you written permission to rent it out;
- it is not stolen, counterfeit, borrowed without permission, pledged as security or the subject of a dispute over who owns it;
- renting it out does not break anyone else’s rights, including trademarks, copyrights and designers’ rights;
- the listing is accurate: the photos show the actual item, and the size, color, brand or designer (only if genuine), condition and any defects are described truthfully;
- you will drop the item off at the partner cleaner you chose, and keep it available for every booking you accept.
If a listing is false or misleading, or you had no right to list the item, we may:
- remove the listing, cancel its bookings and refund the Renters in full;
- withhold or reverse your earnings from those bookings;
- ask the partner cleaner to hold the item while a claim to it is looked into, and release it to whoever we reasonably believe is entitled to it, or as the law requires;
- suspend or close your account, and report stolen or counterfeit goods to the authorities.
You are responsible for, and will repay, the losses, costs and claims that Renters, Partners, the rightful owner or we suffer because of a false listing.
Renting means normal wear. Damage beyond normal wear is paid for through the Renter’s deposit and liability (section 5) or by the Partner responsible (section 7). We are not an insurer; you may wish to insure valuable items.
7. Partners: care of items, and loss or damage
Partner dry cleaners must:
- accept, inspect, clean and store items with professional skill and care, using the right cleaning method for each fabric;
- record each item’s condition truthfully when it is dropped off, verified, handed over and returned, and only verify items they have actually inspected;
- keep items secure, and hand them only to the booked Renter or the assigned delivery partner, recording each handover on the Platform.
Delivery partners must:
- collect and deliver at the agreed times, and keep items clean, dry and protected in transit;
- hand items only to the named Renter at the address given, or to the partner cleaner;
- update the delivery status on the Platform honestly and promptly.
Liability. A Partner is responsible for loss of, or damage to, an item while it is in their care: for a cleaner, from accepting it at drop-off until handing it over, and from taking it back until the next handover; for a delivery partner, from collecting it until delivering it. This includes damage caused by cleaning, such as shrinking, fading, burns or using the wrong method. The Partner must pay the Lister the cost of repair or the item’s replacement value, and repay the Renter for any loss the Partner caused (for example, a booking cancelled because the item was damaged). Partners must hold suitable insurance for goods in their care.
If a Partner does not pay, we may take the amount from any money we owe them (such as referral bonuses), invoice them, suspend their partner status (which removes them from the drop-off map and from new items and deliveries), end the partnership and take legal action. Partners are independent businesses, not our employees or agents. They may use members’ details only to provide the service and must keep them confidential (see the Privacy and Data Governance Policy).
8. Fittings
Fittings at the partner cleaner are free. Treat items you try on with care: if you damage an item during a fitting, section 5 applies as if you had rented it.
9. Reviews, content and copyright
- Reviews must be honest and based on your own experience. Do not review your own listings, or post or pay for fake reviews.
- You keep ownership of the photos and text you post, and give us a non-exclusive, worldwide, royalty-free license to display them on the Platform and to use them to promote the Platform and your listings.
- We may remove content that breaks these terms or the law.
- If you believe something on the Platform infringes your copyright, send a notice to info@greentangelo.net with the details listed in the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)): the work, where it appears on the Platform, your contact details, a statement of good-faith belief and accuracy, and your signature. We remove infringing content and close the accounts of repeat infringers.
10. What you must not do
- commit fraud or collude with others to cheat a member or us (see the Anti-Fraud and Collusion Policy);
- arrange payment outside the Platform for a booking that started here, or ask for extra payments;
- open fake or duplicate accounts, or give false details;
- list items that are illegal, unsafe or that you have no right to rent out;
- harass or threaten anyone;
- copy the Platform’s content in bulk, or interfere with its security or operation.
11. Store credit and referral bonuses
Store credit (which pays commissions and plan fees and cannot be withdrawn) and referral bonuses (which can be withdrawn) are given at our discretion after we review the recommendation. We may refuse, cancel or reverse a reward obtained through false, duplicate, self-made or collusive recommendations, and take back a bonus already paid from any money we owe you.
12. Suspension and closing accounts
- We may suspend or close an account, remove listings, or hold payouts while we investigate, if we reasonably believe these terms have been broken, if we suspect fraud, if the law requires it, or to protect members or the Platform.
- You can close your account from your dashboard once any balance has been paid out or settled. We keep the records we must keep by law (see the Privacy and Data Governance Policy).
13. Disclaimers and limits on our liability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WE DO NOT PROMISE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. ITEMS ARE PROVIDED BY LISTERS, NOT BY US (EXCEPT OUR OWN COMPANY LISTINGS).
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING THE DISRUPTION OF AN EVENT, LOSS OF ENJOYMENT OR LOSS OF PROFIT, AND OUR TOTAL LIABILITY TO YOU IS LIMITED TO WHAT YOU PAID THROUGH THE PLATFORM FOR THE BOOKING CONCERNED OR, FOR LISTERS AND PARTNERS, TO THE FEES WE EARNED FROM YOU IN THE 12 MONTHS BEFORE THE CLAIM.
Some states do not allow these exclusions or limits, so some of them may not apply to you. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
You agree to defend, indemnify and hold us harmless against claims, losses and costs (including reasonable attorneys’ fees) that arise because you broke these terms or the law, or because of your listings or conduct.
14. Our content
The Platform, the Green Tangelo name and logo, and the content we create belong to us or our licensors. You may not use them without our written permission.
15. Changes to these terms
We may update these terms. We will post the new version here and, for significant changes, tell members by email or on the Platform. The terms in force when you made a booking apply to that booking. If you keep using the Platform after a change, you accept the new terms.
16. Disputes and governing law
Talk to us first. If you have a complaint, contact us at info@greentangelo.net. We will try to resolve it within 60 days.
Binding arbitration. If we cannot resolve it, you and we agree that any dispute arising out of these terms or the Platform will be settled by binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules (or its Commercial Arbitration Rules if you use the Platform for a business), instead of in court. The arbitrator can award the same individual relief a court could. Hearings may be held by video or in the county where you live. Fees are paid as the AAA’s rules provide.
Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court to stop the misuse of intellectual property.
No class actions or jury trials. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and you and we each give up the right to a jury trial. If this waiver is found unenforceable for a claim, that claim must be decided in court, not in arbitration.
Opting out. You may opt out of this arbitration agreement by emailing info@greentangelo.net within 30 days of first accepting these terms, with your name and the email address of your account.
Governing law. These terms are governed by the laws of the State of California, United States, and this arbitration agreement by the Federal Arbitration Act. Any dispute not subject to arbitration will be decided in the state or federal courts of Los Angeles County, California, and you and we agree to their jurisdiction.
California residents. Under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
17. General
- These terms and the policies they mention are the whole agreement between you and us about the Platform.
- If any part is found unenforceable, the rest still applies. If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer your rights under these terms without our consent. We may transfer ours to a business that takes over the Platform.
